Terms & Conditions

PRICES AND VAT

Orders are accepted subject to availability. All prices quoted at the time of order may be subject to currency fluctuation. All invoices are subject to VAT at the prevailing rate. Any delivered ‘quote’ in sterling or Euros will be based on the

current exchange rate. This may fluctuate and DARWIN SUPPLY CO .LTD reserves the right to amend the invoice without prior notice accordingly.

CARRIAGE
Prices quoted are delivered to the customers quoted delivery address. Delivered prices are based on quotes at the time of order and may be subject to change as market conditions alter.

PAYMENT
Unless otherwise stated, all invoices are due 30 days after the date of invoice. Interest will be charged at 8% over the Bank of England base rate as per the new European Directive (www.payontime.co.uk) on any overdue accounts from the date on which payment was due. The customer shall also pay all legal and other costs incurred by DARWIN SUPPLY CO. LTD in recovering any amounts owing from the customer and for goods in which title has been retailed by DARWIN SUPPLY CO. LTD. DARWIN SUPPLY CO. LTD reserves the right to use a factoring company for the collection of account balances. DARWIN SUPPLY CO. LTD terms will still apply.

TITLE
The title of the goods delivered to the customer or to his order shall remain with DARWIN SUPPLY CO. LTD until it has received payment in full for all outstanding invoices, including all other debts for any other goods and services then or subsequently owed to it by the customer on any account. DARWIN SUPPLY CO. LTD shall be entitled at any time on demand to repossess and sell any of the goods and thereby terminate the customer’s right to use or sell them and to enter any premises in which the goods are located for the purpose of inspecting or repossessing them. DARWIN SUPPLY CO. LTD does not trade on a ‘sale or return’ basis.

DELIVERY

Any delivery date specified by DARWIN SUPPLY CO. LTD is an estimate only and it shall not be liable for the

consequences of any delay. Although every effort will be made to deliver completed orders on time, DARWIN SUPPLY

CO. LTD. retain the right to deliver part orders and cancel any balance orders. DARWIN SUPPLY Co. LTD reserve the right to substitute any goods, which for any reason whatsoever are not available at the intended date of dispatch with goods of a similar style. Once goods are cleared from customs delivery must be taken immediately, any delay caused by the purchaser may result in additional charges. The unloading of the container is entirely the responsibility of the purchaser and DARWIN SUPPLY CO. LTD will accept no liability for any loss, injury or damages caused while unloading the container.

CLAIMS
All claims for breakages and damages must be notified to DARWIN SUPPLY CO. LTD in writing within three working days of delivery. This is absolute. Broken items should be retained for inspection. Where goods are sold as a set, credit will only be given to actual damaged articles. Where damage to goods is visible at time of delivery, a notation indicating the extent of damage should be recorded on the delivery note. Pottery generally can be porous which may result in water damage to floor coverings, tabletops and other surfaces. DARWIN SUPPLY CO. LTD will not accept any claims for damage to property. Care should be taken to protect valuable surfaces.

CANCELLATION

Because goods are manufactured specifically against customers’ orders, no order may be cancelled without the express agreement of DARWIN SUPPLY CO. LTD DARWIN SUPPLY CO. LTD reserves the right to charge for any costs or expenses that it incurs in connection with such cancellation.

DESIGNS
DARWIN SUPPLY CO. LTD reserve the right to alter the specifications, designs of its goods, its price lists and conditions of sale at any time without prior notice.

PRODUCT LIABILITY
DARWIN SUPPLY CO. LTD does not accept any liability for product that is mishandled and misused. Our sales literature offers tips and guidance in the use of our products. DARWIN SUPPLY CO. LTD shall not be responsible for resulting claims or consequential losses for usage not in accordance with guidance in our literature.

DATA PROTECTION

Details supplied may be held on an information retrieval system. DARWIN SUPPLY CO. LTD. does not pass any

marketing information to any third party. DARWIN SUPPLY CO. LTD. or their appointed agents will carry out credit
checks with a licensed credit reference agency. If you do not wish us to carry out these checks, please contact our accounts department.
